Terms of Service

These Terms govern use of the Forthclear B2B surplus marketplace by business sellers and buyers. By creating an account, listing inventory, submitting an enquiry, or completing an order, you agree to these Terms.

1. Marketplace Service

Forthclear provides a marketplace where sellers can list surplus inventory and business buyers can discover listings, communicate with sellers, and complete orders. Sellers own and supply the goods they list. Forthclear is not the seller or buyer of those goods.

2. Business Accounts

Forthclear is a B2B marketplace. You must provide accurate account and business information, keep your credentials secure, and remain responsible for activity under your account. Buyers and sellers are responsible for determining the tax, resale, import, export, and other legal requirements that apply to their transaction.

3. Seller Listings and Responsibilities

A seller must have the right to sell the listed goods and must describe their identity, quantity, condition, price, location, and shipping terms accurately. A seller may not list counterfeit, stolen, unlawful, recalled, or otherwise prohibited goods. The seller is responsible for fulfilment and for providing the buyer with accurate shipment information.

4. Buyer Responsibilities

A buyer must review the listing, ask any necessary questions, and confirm that the goods and transaction are suitable for its business. A buyer must provide accurate payment and delivery information and inspect delivered goods within the marketplace's stated inspection workflow.

5. Fees

Creating a listing is free. When an item sells, the seller pays Forthclear 5% of the item subtotal. The fee does not apply to shipping or tariffs, and buyers pay no Forthclear fee. Any transaction-specific amount is shown in the order record.

6. Payments, Payouts, and Inspection

Stripe processes payments and seller payouts. Sellers must connect Stripe and complete Stripe's identity verification before receiving a payout. When a buyer marks an order received, a three-day inspection window governs release. If the buyer never acts, held funds auto-release 14 days after shipment.

7. Disputes Between Buyers and Sellers

Buyers and sellers should first use the marketplace record and support channel to document a problem with identity, condition, quantity, shipment, or receipt. Forthclear may request supporting information and may restrict release or account access while a reported marketplace issue is reviewed.

8. Acceptable Use

You may not misuse the service, submit deceptive listings, evade fees on a transaction initiated through Forthclear, interfere with marketplace operation, attempt unauthorised access, scrape private account data, or use the service for an unlawful purpose.

9. Intellectual Property

Forthclear and its original site content, software, and branding are protected by applicable intellectual-property laws. A seller retains rights in its listing content and grants Forthclear the limited permission needed to host, display, and distribute that content for marketplace operation and promotion.

10. Suspension and Termination

Forthclear may restrict or suspend an account or listing that violates these Terms, creates marketplace or payment risk, or is required to be restricted by law. You may stop using the service, but completed and pending transaction obligations survive account closure.

11. Service Disclaimer and Liability

The marketplace is provided on an as-is and as-available basis to the extent permitted by law. Forthclear does not guarantee that a listing will sell, that a buyer or seller will complete a transaction, or that user-supplied listing information is accurate. Nothing in these Terms excludes liability that cannot legally be excluded.
